Recently, our team was asked a question: “Наш бухгалтер розподілив дивіденди по часткам 33,33, 33,33 и 33,34 на трьох учасників ТОВ. Виявляється наші частки 33,3 33,3 і 33,4. Яке покарання за такий розподіл дивідендів? Чи груба це помилка?”

06.02.2021 23:07:11 Рішення про розподіл прибутку та виплату дивідендів оформлюється протоколом загальних зборів, у якому учасники ТОВ зазначають, зокрема, суму прибутку, спрямовану на виплату дивідендів, розмір дивідендів та порядок і строки їх виплати. Якщо бухгалтер діяв на підставі такого рішення учасників ТОВ, але помилився при розрахунках, тоді на підставі бухгалтерської довідки здійснюються корегування відповідно до цього рішення.

07.02.2021 17:53:09 Якщо посадова особа порушила порядок або строк виплати дивідендів усупереч рішенню загальних зборів ТОВ, її притягнуть до адміністративної відповідальності (ст. 163-5 Кодексу України про адміністративні правопорушення). За перше порушення штраф становитиме від 5100 до 8500 грн, за повторне протягом року — від 8500 до 17 000 грн.

09.02.2021 13:53:39 Згідно з ч. 1 ст. 26 Закону про ТОВ джерелом виплати дивідендів є чистий прибуток товариства.Рішення про розподіл прибутку та виплату дивідендів засвідчується такими документами:1) протоколом загальних зборів, у якому засновники (учасники) підприємства наводять рішення щодо розподілу чистого прибутку та виплату дивідендів. У протоколі слід зазначити суму прибутку, спрямовану на виплату дивідендів, відповідний період розподілу прибутку, розмір дивідендів та порядок і строки їх виплати;2) наказом, у якому директор (чи інший виконавчий орган підприємства) призначає виплату дивідендів на підставі рішення загальних зборів засновників (учасників). Такий наказ є підставою для бухгалтера розпочати нарахування/виплату дивідендів.Якщо бухгалтером допущена помилка при розподілі (нарахуванні) дивідендів по часткам то проводиться корегувування та складається бухгалтерська довідка.
