For every entrepreneur who wants to start his own business, one of the key issues is business registration in Ukraine. This mandatory procedure is regulated by current legislation. Although it has been significantly simplified in recent years, it contains certain nuances that should be familiarized with in advance. Let's consider in detail how to properly register a business in Ukraine.
The first step is to choose an organizational and legal form of business. The most common options are the individual entrepreneur (FOP) and the limited liability company (LLC). A sole proprietorship is a simpler form for starting a business, but it has certain restrictions regarding the number of employees and types of activities. LLC as a legal entity is suitable for larger businesses.
The next requirement is the preparation of the necessary package of documents. To register a sole proprietorship, you need to submit an application, copies of your passport and identification code, and a receipt for payment of the administrative fee. For LLCs, it is necessary to prepare founding documents, information about the founders and legal address, as well as pay a registration fee.
After preparation, the documents are submitted to the state registrar in person, by mail or in electronic form through the "Online House of Justice". FOP registration usually takes place within 24 hours, for LLCs it can take up to 3 working days.
Upon completion of registration, the entrepreneur receives the relevant documents: for sole proprietorships - an extract from the register of entrepreneurs, for LLCs - an extract and statutory documents with the registrar's stamp.
The next step is to open a bank account for business activities. You should contact the selected bank with a package of registration and establishment documents.
Depending on the type of activity and form of business, the entrepreneur may need to register with the regulatory authorities (tax, pension fund, social insurance fund) after receiving registration documents.
For some areas of activity, special permits or licenses are also required, for example, for the sale of alcohol or construction work.
When registering a business, you should pay attention to the following nuances: the correct choice of the KVED code, the legal address (must be real), the minimum authorized capital of the LLC (1 UAH), the reputation of the founders of the LLC.
The price of business registration in Ukraine: The cost of business registration may vary depending on the chosen form of ownership and other factors. In particular, for the registration of an individual entrepreneur (FOP), the cost may be small, but for legal entities (for example, Limited Liability Companies - LLC) it may be higher. Currently, online business registration in Ukraine is a convenient and fast way, but the cost may depend on the selected service package.
You can also register a business online in Ukraine. To do this, you need to have an electronic digital signature (EDS). You can register an individual as an entrepreneur or a new legal entity through the State Services portal or at the House of Justice.
After registration, it is important to comply with the requirements of the law regarding the conduct of business, payment of taxes, accounting and reporting.
In general, the procedure for registering a business in Ukraine can seem complicated, especially for beginners. However, with proper preparation and fulfillment of all requirements, it can be passed independently.
