Recently, our team was asked a question: “Я є власником приватного підприємтсва. У зв’язку з тим, що переїжджаю в інше місто, я змушений змінити місцезнаходження юридичної особи. Чи достатньо зміни відомостей в ЄДР? І якщо змінюєш адресу юридичної особи чи потрібно вносити змінити в усі документи пов’язані з юридичною особою? Дякую”

28.07.2021 23:35:42 Доброго вечора. Вам треба внести зміни до Статуту або Положення, переєструватись в ЄДР, звичайно внести зміни у всі документи, особливо в ліцензії, якщо вони у Вас є. А також повідомити листами всіх своїх контрагентів та внести зміни до договорів, які у Вас укладені. Дякую.

29.07.2021 12:32:57 Для зміни адреси державному реєстратору треба подати: рішення власника про зміну адреси (протокол загальних зборів, якщо у приватному підприємстві від 2х та більше учасників; або рішення єдиного учасника, якщо учасник у приватному підприємстві один). Якщо адреса не зазначена в інших документах юридичної особи (зокрема, у статуті), то вносити зміни в такі документи не потрібно. Якщо стара адреса вказана в установчих та інших документах юридичної особи, то змінити її необхідно. Установчі документи підприємства мають відповідати інформації, яка внесена в Реєстр юридичних осіб, інакше у вашого підприємства виникнуть проблеми з банками та контрагентами. Тому краще оновити документи. Для зміни юридичної адреси приватного підприємства реєстратору подається заява щодо державної реєстрації юридичної особи за формою 2 (звертаю вашу увагу, що з 11 липня 2021 р. затверджено нову редакцію заяви за формою 2). За подання заяви про зміну адресу сплачується адміністративний збір - 680 гривень.

29.07.2021 22:18:14 Доброго Дня Оскільки відомості про місцезнаходження юрособи містяться в Єдиному державному реєстрі юридичних осіб, фізичних осіб — підприємців та громадських формувань (далі — ЄДР) (п. 10 ч. 2 ст. 9 Закону № 755), насамперед варто звернутися до держреєстратора та змінити відомості про місцезнаходження. Зважаючи на ч. 4 ст. 17 Закону № 755, для державної реєстрації змін до відомостей про місцезнаходження юридичної особи у загальному випадку потрібно подати такий мінімальний пакет документів: — заяву про державну реєстрацію юридичної особи — документ про сплату адміністративного збору; — установчий документ юридичної особи в новій редакції (у разі, якщо відомості про місцезнаходження юрособи були закріплені у статуті, та до нього були внесені зміни).
