The procedure for changing the address of a legal entity in Ukraine
The legal address is the address that is indicated in all official documents of a legal entity, such as the charter, contracts, registration documents, etc. This address indicates the location of the office or building where the main administrative or management establishment of the company is located.
It is important to distinguish between a legal address and an actual address. The physical address indicates the location where the actual business of the company is carried out, while the legal address may differ, for example, if the company owns or rents office space, but has a legal address in another place where the legal entity is registered.
A legal address is important to ensure the legality and identification of a legal entity before the law and third parties. It is also used to communicate with the company, including correspondence and delivery of official documents.
Making a decision to change the address
1. General meetings: the decision to change the legal address is taken by the general meeting of participants (for LLCs) or shareholders (for JSCs).
2. Minutes of the meeting: the decision is formalized in the minutes of the meeting, which are signed by the chairman and the secretary of the meeting.
Preparation of changes to the charter
1. Making changes: if the address is specified in the articles of association of a legal entity, it is necessary to make changes to the articles of association.
2. Documents: prepare a new version of the charter or amendments to the charter with a new address.
3. Approval: changes must be approved by the general meeting.
Filling out the form
1.Registration form: Fill out the application form for state registration of changes to information about a legal entity contained in the Unified State Register. The form can be found on the official website of the Ministry of Justice of Ukraine or obtained from the registration body.
Submission of documents to the state registrar
Prepare the following documents:
1. Completed registration form.
2. Minutes of the general meeting.
3. New version of the charter or changes to the charter.
4. Receipt for the payment of the administrative fee.
5. Submission of documents: documents can be submitted in person, through an authorized representative (by proxy) or through online services of the Ministry of Justice.
Obtaining an extract from the Unified State Register
1. Checking and making changes: the state registrar checks documents and makes changes to the Unified State Register of Legal Entities and Individual Entrepreneurs.
2. Extract: get a new extract from the Unified State Register confirming the change of address.
Notification of regulatory authorities
1. Tax authorities: inform the tax authorities about the change of address.
2. Statistics authorities and social funds: inform statistics authorities and social funds.
3. Banks and counterparties: Update information about the new address in banking institutions and inform counterparties. If necessary, make changes to existing contracts.
