Recently, our team was asked a question: “Чи може директор одного Товариства паралельно працювати в іншому товаристві, але на посаді штатного працівника. Чи є покарання якщо оформити такого працівника? Якщо є, який штраф?”

20.09.2022 18:57:34 Відповідно до ст. 21 КЗпП, працівник має право реалізувати свої здібності до продуктивної і творчої праці шляхом укладення трудового договору на одному або одночасно на декількох підприємствах, в установах, організаціях, якщо інше не передбачено законодавством, колективним договором або угодою сторін. Оскільки директор є виконавчим органом ТОВ, обмеження його прав встановлені, зокрема, Законом України «Про товариства з обмеженою та додатковою відповідальністю» від 06.02.2018 Так , відповідно до ст. 40 цього Закону, член виконавчого органу товариства не може без згоди загальних зборів учасників або наглядової ради товариства, а член наглядової ради товариства - без згоди загальних зборів учасників, а також: 1) здійснювати господарську діяльність як фізична особа; 2) бути учасником повного товариства або повним учасником командитного товариства; 3) бути членом виконавчого органу або наглядової ради іншого суб’єкта господарювання. Все це стосується сфери діяльності товариства.
21.09.2022 09:50:48 Може, якщо безпосередньо обмеження не передбачені установчими документами. Керувати підприємством може як сам власник (засновник), так і найманий працівник, що передбачено статтями 65 та 128 ГК. Якщо керівником є засновник, то правовідносини зазвичай є корпоративними, тобто без укладення трудового договору. У такому разі засновник виконує не трудові обов’язки директора, а лише управлінські функції, передбачені статутом підприємства. Працівник має право реалізувати свої здібності до продуктивної та творчої праці шляхом укладення трудового договору на одному або одночасно на декількох підприємствах (ч. 2 ст. 21 КЗпП). Але за умови, що інше не передбачено законодавством, колективним договором або угодою сторін.Загалом обмежень щодо прийняття на посаду директора за сумісництвом на підприємстві недержавної форми власності законодавство не містить. Тож якщо таких обмежень немає і в локальних документах підприємства, то його директор має право укласти трудовий догов за сумісництвом.
